Where a product has been specifically manufactured or customized according to a customer’s approved requirements, cancellation or return may not be available merely because the customer subsequently changes their preference or no longer requires the product, except where required by applicable law or expressly agreed in writing.

Nothing in these Terms & Conditions limits any mandatory consumer right or remedy that cannot legally be excluded.

14. Customized Products and Cancellation

Packaging products manufactured according to customer-specific requirements may involve procurement of materials, production planning, printing, tooling, manufacturing and other processes that cannot readily be reversed.

Accordingly, once production of a customized order has commenced, cancellation or modification may be subject to the commercial terms applicable to that order.

This may particularly apply where the customer has approved:

  • artwork or branding;
  • product dimensions;
  • material specifications;
  • colour;
  • thickness;
  • printing;
  • quantity;
  • packaging configuration; or
  • other technical requirements.

Sri Shyam Industries will make reasonable efforts to accommodate a customer’s request for changes where production has not materially progressed. However, the acceptance of such a request is not guaranteed.

Any costs already incurred in connection with an order may be payable where permitted by the applicable agreement and law.

15. Defective, Damaged or Incorrect Products

If a customer believes that a product supplied by Sri Shyam Industries is defective, damaged, materially different from the agreed specification, or supplied in an incorrect quantity, the customer should notify Sri Shyam Industries within the applicable period communicated for that transaction.

The customer may be requested to provide:

  • order or invoice details;
  • photographs or videos;

Where a particular tolerance has been expressly agreed in writing, that agreed tolerance shall apply.

A minor variation that falls within the agreed or commercially reasonable manufacturing tolerance will not ordinarily constitute a defect.

For customized products, the final manufacturing result may also depend on the customer’s approved artwork, files, samples and technical specifications.

17. Customer-Provided Artwork and Content

Where a customer provides logos, trademarks, artwork, photographs, designs, text, product information or other materials for printing or customization, the customer represents that they have the necessary rights, permissions and authority to use and reproduce such materials for the relevant purpose.

The customer remains responsible for ensuring that customer-provided material:

  • does not infringe intellectual property rights;
  • does not violate applicable law;
  • does not contain unlawful or misleading material;
  • does not violate applicable advertising or regulatory requirements; and
  • is technically suitable for the agreed printing or manufacturing process.

Sri Shyam Industries may refuse to process material that it reasonably believes may create legal, regulatory, reputational or technical concerns.

18. Customer Indemnity for Supplied Material

To the extent permitted by applicable law, a customer who supplies artwork, trademarks, text, images, designs or other material for manufacturing or printing agrees to be responsible for claims arising from the customer’s lack of authority to use such material or from unlawful content supplied by the customer.

This does not transfer responsibility for matters caused solely by Sri Shyam Industries’ own independent acts or omissions.

Where a claim arises concerning customer-supplied intellectual property or content, Sri Shyam Industries may suspend the relevant production or transaction while the matter is investigated.
